AUTHORIZED RESELLER POLICY

Pure Treats Inc & Pure Treats Primal Pet Foods LLC

Effective November 1, 2026

Purpose

This Policy governs how authorized resellers may market and sell products purchased from Pure Treats Inc and Pure Treats Primal Pet Foods LLC (collectively, “Company”) and its brands: Primal Pet Foods, PureBites, and PureSnacks. It exists to protect our Brands, ensure product quality, and deliver a consistent consumer experience.

This Policy applies to all distributors, wholesalers, and retailers who purchase and resell Company products (“Resellers”). It is unilateral and non-negotiable. The Company independently determines which entities it will do business with.

Reseller Obligations

All Resellers must:

  • Sell only new, authentic, unopened products in original packaging before their best-by date.
  • Follow any applicable Company handling guidelines to ensure product freshness and integrity for Pet Parents, including inspecting product upon receipt to ensure freshness and integrity prior to resale
  • Follow their distributor’s product return guidelines including collecting product information and return reason
  • Follow Company brand guidelines when communicating brand promotions or advertising products.
  • Make no unauthorized representations or warranties about Company products.
  • Comply with all applicable laws, including export control and sanctions regulations.
  • Clearly identify themselves as a reseller and not represent themselves as, or imply they are, the brand owner.

Products sold by unauthorized sellers are not covered by Company warranties or support.

Approved Sales Channels

Resellers may sell Company products only through the following approved channels:

  • Brick-and-mortar retail locations.
  • The Reseller’s own e-commerce website.
  • Veterinary offices and specialty pet health clinics.

Authorization for one channel does not automatically extend to others.

Prohibited Sales Channels

Reseller shall not sell, market, advertise, or otherwise offer the Products on or through:

  • Any third-party online marketplace, including but not limited to Amazon.com, Walmart.com, eBay.com, Target.com, Etsy.com, TikTok Shop, or similar platforms;
  • Any website not owned and operated directly by Reseller;

Unless expressly authorized in writing by Company.

Online Marketplace Sales

Sales on third-party marketplaces including but not limited to Amazon.com, Walmart.com, eBay.com, Target.com, Etsy.com, TikTok Shop, or similar platforms require prior written authorization from the Company. Resellers without this authorization may not:

  • List Company products on any third-party marketplace, auction, deal, flash sale, or liquidation site.
  • Directly or indirectly supply any party known, or should be reasonably known to sell on such platforms.

Any authorization to sell Products through a third-party marketplace must be provided in writing by Company and must identify the applicable marketplace and, where applicable, the specific seller account, storefront, website, other sales account authorized, or applicable brand(s) and SKUs. Authorization for one marketplace, account, storefront, or sales channel does not constitute authorization for any other marketplace, account, storefront, sales channel, brand, or SKUs. Authorization is specific to the Reseller to whom it is granted and may not be transferred, assigned, or extended to any affiliate, related entity, or third party without Company's prior written authorization.

Company may revoke marketplace authorization upon fifteen (15) days' written notice for business reasons. Notwithstanding the foregoing, Company may immediately suspend or terminate marketplace authorization, suspend supply, or take other appropriate action upon suspected diversion, counterfeiting, misuse of Company intellectual property, unauthorized marketplace sales, or other material violations of this Policy.

Minimum Advertised Price (MAP & IMAP) Policy

The Company separately maintains a unilateral Minimum Advertised Price (MAP & IMAP) Policy, which it establishes and administers in its sole discretion. That policy can be found at primalpetfoods.com/pages/map or purebites.com/pages/map. It is a standalone policy, is not part of this Policy or any agreement, and is provided here for Resellers' awareness.

Acknowledgement of MAP & IMAP Policy

Resellers acknowledge that they have received, reviewed, and understand the MAP & IMAP Policy.

Reseller further acknowledges:

  • Compliance with the MAP & IMAP Policy is a condition of being an authorized reseller;
  • Violations may result in loss of authorization, suspension of supply, or legal action

Brand & Intellectual Property

  • Modify Company logos, marks, or packaging.
  • Register domain names or social media handles that incorporate Company trademarks.
  • Use paid search, SEO, or social media in a way that implies a closer affiliation with the Company than an authorized reseller relationship.

Diversion & Product Tracking

Resellers may not divert products to unauthorized channels or parties. The Company reserves the right to use lot codes, packaging identifiers, and audits to trace product diversion. Suspected diversion may result in immediate suspension of supply.

Violation of this Policy may result in:

  • Suspension or termination of supply.
  • Cancellation of outstanding orders.
  • Revocation of any marketplace authorization.
  • Legal action.

The Company may modify this Policy at any time.

No waiver of any provision is effective unless made in writing by an authorized Company representative and applies only to the specific instance for which it was given.
